AI4Chat Chatbot Services Agreement
Welcome to the AI4Chat Chatbot Services Agreement (“Agreement”). This document outlines the terms and conditions governing the provision of AI4Chat’s cutting-edge AI Chatbot Services (“Services”) offered by One Lynk Education LTD (“AI4Chat”) to its business customers (“Customers”). By accessing and utilizing our Services, you affirm that you possess the necessary authority to bind your organization to these terms. If you disagree with any of these terms, we kindly ask you to refrain from using our Services.
Section 1: Description of Services
Our AI4Chat Chatbot is an innovative tool designed to facilitate customer support services and provide content to employees or end users of our business customers. This Chatbot can be seamlessly integrated into your platform and customized to effectively engage with and support your end users on topics specified by your organization.
Section 2: Acceptable Usage
The Services may only be employed for lawful purposes as explicitly authorized by AI4Chat. Users are obligated to adhere to all applicable laws and regulations.
Customers bear the sole responsibility for obtaining any necessary permissions from their end users to enable the utilization of the Services. Customers also commit to maintaining the confidentiality of all login credentials associated with the Services.
In terms of data security, AI4Chat will take reasonable measures to safeguard Customer Data from unauthorized access, use, disclosure, alteration, or destruction.
Section 3: Customer Data and Privacy
Your organization retains ownership of all data submitted by your end users through the Services (“Customer Data”). Our Privacy Policy outlines how we handle and safeguard Customer Data. By using the Services, you grant AI4Chat a license to access, use, and retain Customer Data to deliver the Services.
Section 4: Intellectual Property Rights
Workflows, and related materials associated with the Services are the exclusive property of AI4Chat. Customers are expressly prohibited from copying, altering, reverse engineering, or extracting source code from the Services.
Section 5: Warranties, Disclaimers, and Liability Limitation
The Services are provided on an “as is” and “as available” basis. AI4Chat makes no representations or warranties regarding the operation of the Services or the content included therein. By using the Services, you assume the risk, and AI4Chat disclaims all warranties, including but not limited to merchantability, non-infringement, and fitness for a particular purpose. AI4Chat’s liability is limited to the total amounts paid by the Customer for the Services in the preceding three months.
Section 6: Amendments to Terms
AI4Chat retains the authority to make changes to these Terms, and these changes will be communicated by posting the revised terms on this website. By using the Platform after these updated Terms are posted, you are indicating your agreement to these modifications. To ensure that you are aware of any changes, it is your responsibility to periodically review these Terms. If you find yourself in disagreement with the revised terms, your permission to use the Service will be revoked. Your continued use of the Service following the implementation of revised terms will be considered as an acceptance of the new terms and conditions.
Section 7: Changes to Service
AI4Chat may withdraw or modify the Service, or any service or material provided via the Service, at its sole discretion without notice. AI4Chat is not liable if the Service becomes unavailable. Access to the Service may be restricted, including for registered users.
Section 8: Links to Other Software
The Service offered by AI4CHAT is linked to software not owned or controlled by AI4Chat. AI4Chat isn’t responsible for their content or practices. AI4Chat shall not be responsible or liable for any content, goods, services, advertising, or other materials provided on or through any third-party application. AI4Chat shall not be liable for any loss, damage, costs, or expenses related to Client’s use of or reliance on our service provided by third-party applications.
Client agrees that AI4Chat is not responsible or liable, directly or indirectly, for any damage, loss, or cost caused by, resulting from, or relating to Client’s use of or reliance on any third-party content, goods, services, or other resources available through AI4CHAT via third-party applications.
Section 10: Governing Law and Jurisdiction
These terms are governed by the laws of England. Any disputes arising from these terms will be exclusively subject to the jurisdiction of the courts located in England.
Section 11: Payment Terms
Customers will pay AI4Chat a monthly or annual subscription fee for the Services.
Section 12: Renewals
The initial term of this agreement is one year, and it will automatically renew for additional one-year terms unless either party provides written notice of non-renewal at least 30 days prior to the end of the current term.
Section 13: Customer Support
AI4Chat will provide Customer support for the Services during normal business hours.
- Normal business hours: For the purposes of this Agreement, “normal business hours” shall be defined as 9:00 AM to 5:00 PM, Monday through Friday, excluding holidays.
- Customer support: AI4Chat will provide Customer support for the Service by email, phone, and chat. Customer support will be available during normal business hours.
- Severity of issues: AI4Chat will prioritize Customer support requests based on the severity of the issue. Critical issues will be addressed immediately, while less critical issues will be addressed within a reasonable timeframe.
- Resolution of issues: AI4Chat will use reasonable efforts to resolve all Customer support requests in a timely and efficient manner.
- Satisfaction guarantee: AI4Chat is committed to providing Customer support that meets or exceeds Customer expectations. If a Customer is not satisfied with the Customer support they receive, they may contact AI4Chat to file a complaint. AI4Chat will investigate all complaints and take appropriate action to resolve them.
Section 14: Force Majeure
AI4Chat shall not be liable for any failure or delay in performing its obligations under this terms of service or the applicable service agreement if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes or labour disputes, embargoes, government orders, terrorism, civil unrest, or disruption or outage of third party networks or infrastructure.
In the event of a force majeure event, AI4Chat shall make reasonable efforts to notify Client in a timely manner and minimize the impact of the force majeure event through recovery or restoration efforts.
AI4Chat’s time for performance shall be extended for the duration of the force majeure event. After 30 consecutive days of a force majeure event, either party may terminate the applicable service agreement by providing written notice, effective upon receipt.
AI4Chat shall not be liable for any service credits, penalties, or other liabilities arising due to any failure or delay caused by a force majeure event as defined herein.
